Item 8.01. Other Events.
As previously announced on February 20, 2007, the Company’s Board of Directors has approved a $5 billion share repurchase program. On April 4, 2007, the Company entered into a contract to conduct some of those repurchases pursuant to a plan complying with Rule 10b5-1 of the Securities and Exchange Act of 1934 (the “Exchange Act”). Repurchases made under the plan will comply with the requirements of Rule 10b5-1(c)(1)(i) and, to the extent applicable, Rule 10b-18 under the Exchange Act.
